Confidentiality Policy

1. Introduction

At Elite & Co ("we," "our," "us"), a MOHRE-licensed premium executive recruitment agency in the UAE, confidentiality is the cornerstone of our operations. This Confidentiality Policy outlines our commitment to protecting sensitive information shared during executive staffing services, in compliance with UAE Labour Law (Federal Decree-Law No. 33/2021, Article 16), UAE Civil Code (Article 905), and PDPL where personal data is involved.

We handle highly sensitive details—such as candidate profiles, client strategies, and placement negotiations—with unwavering discretion. All parties (Candidates, Clients, and our staff) are bound by this policy, supplemented by Non-Disclosure Agreements (NDAs). Breaches may result in legal action, including termination or damages.

Our Pledge: We treat your information as our own, ensuring elite-level security and trust in every engagement. This policy aligns with UAE laws prohibiting disclosure of trade secrets (Penal Code Article 379).

2. Scope of Confidential Information

"Confidential Information" includes any non-public data disclosed in connection with our Services, as defined under UAE law (e.g., trade secrets per TRIPS Agreement). Examples:

Candidate details: CVs, salaries, personal circumstances, references
Client details: Job specs, organizational strategies, financials
Business info: Placement outcomes, competitor intel, negotiation terms
Internal data: Our methodologies, vendor lists (unless marked non-confidential)

Exclusions: Publicly available info or data independently developed without reference to disclosed materials.

3. Obligations of Parties

3.1 Our Obligations

We commit to:

Using Confidential Information solely for Service delivery (e.g., matching candidates)
Sharing candidate data only with explicit consent and specific employers
Implementing security measures (e.g., encryption, access controls) per PDPL
Not disclosing to third parties without consent, except as required by law

3.2 Candidate and Client Obligations

You agree to:

Maintain confidentiality of all shared info during and after engagement
Not use our info for personal gain or competition (per Labour Law Article 16)
Return/destroy materials upon request or termination
Report suspected breaches immediately

NDAs: All engagements include a signed NDA for enforceability. Staff sign internal agreements with training on UAE confidentiality duties.

4. Duration and Exceptions

Obligations survive termination indefinitely for trade secrets, or 2-5 years for other info (as agreed in NDA), per UAE Civil Code. Exceptions (with notice where possible):

Exception	Description

Consent	Explicit written approval from the disclosing party
Advisors	Bound third parties (e.g., legal counsel) under equivalent duties

5. Breach and Remedies

Suspected breaches trigger immediate investigation. Remedies under UAE law include:

Injunctions to prevent further disclosure (Civil Courts)
Damages for losses (e.g., lost business, per Civil Code)
Termination without notice (Labour Law Article 44(5))
Criminal prosecution for willful disclosure (Penal Code fines/imprisonment)

We report PDPL-related breaches to the UAE Data Office. You agree to indemnify us for breaches caused by your actions.

6. Integration with Other Policies

This policy supplements our Privacy Policy (data protection) and Terms and Conditions (general use). Conflicts resolved in favor of UAE law.
